These terms govern the company formation, registered agent, and document filing services we provide. By purchasing any of our services, you agree to what follows. Please read it — it is short and written to be understood.
AllSet, LLC is an Arizona company providing company formation, registered agent, and document preparation and filing services. In these terms, we means AllSet and you means the client purchasing the services.
We are not a law firm, an accounting firm, or a tax advisory practice, and no attorney-client relationship is created between us. We do not provide legal, tax, accounting, or investment advice.
What we do is prepare and file documents based on the information you give us, and explain general publicly available requirements. Choosing the state, the ownership structure, or the tax treatment that suits you is your decision.
If you need advice about your specific situation, consult a licensed U.S. attorney or CPA. We are glad to refer you to one.
Depending on the package you purchase, we may provide the following:
Our prices are all-inclusive: they cover both our fee and the Arizona state filing fee. We do not add charges at checkout or bill extras that are not published.
Payment is due in advance. We begin work once payment and your complete information have been received.
If you cancel before we have filed anything with the state or the IRS, we refund you in full.
Once a filing has been submitted to the Arizona Corporation Commission, the state fee is no longer refundable — the state does not return it under any circumstances, and we have already paid it on your behalf. From that point the payment is non-refundable.
If the state rejects your filing for a reason attributable to us, we correct it and refile at no additional cost to you.
The annual maintenance service renews automatically each year using the payment method on file, at the price then in effect. Your first year is included in the formation package.
We notify you by email at least 15 days before each charge. You may cancel at any time by writing to us before the renewal date; cancellation takes effect at the end of the period already paid and does not create partial refunds.
As your registered agent, we maintain a physical address in Arizona and accept service of process and official state correspondence on your behalf.
We commit to scanning and forwarding any service of process to you within one business day of receipt, and any other official correspondence within three business days. We keep a record of every document received.
We can only forward what we receive. Keeping your email address and contact details current is your responsibility. We are not responsible for notices that fail to reach you because your details were out of date.
We do not open, interpret, or act upon your legal correspondence. We receive it and deliver it to you.
We prepare your Form SS-4 and handle the EIN application with the IRS, whether or not you hold an SSN or ITIN. You must sign the SS-4 as the responsible party; we cannot sign it for you.
By signing, you appoint us as your third-party designee, which authorizes us to receive your EIN from the IRS. That designation expires automatically after 90 days.
Processing times are determined by the IRS, not by us.
If you purchase annual maintenance, we provide a step-by-step guide for filing your Form 5472 together with the pro forma Form 1120, plus a reminder before the deadline. The guide covers which fields to complete, which fax number or address to send it to, and how to keep your confirmation.
We provide instructions; we do not file on your behalf. The obligation to file Form 5472 is yours and your company's. We do not prepare, sign, or submit the form, and we are not responsible for penalties, interest, or sanctions arising from a late, incomplete, or incorrect filing.
The guide covers only Form 5472 and the pro forma Form 1120 for a foreign-owned single-member LLC. It does not include personal income tax returns, state returns, or bookkeeping. If you need someone to prepare and file it for you, consult a licensed U.S. accountant.
If the information you give us is incorrect and a filing has to be redone as a result, the new state fee is at your expense.
To the maximum extent permitted by law, our total liability to you for any claim relating to these services is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, special, or consequential damages, including lost profits, loss of bank or seller accounts, or fines, penalties, or interest imposed by any authority.
Our services are provided as is, without warranties of any kind beyond those the law does not permit us to exclude.
If your annual maintenance payment does not go through, we notify you and allow 30 days to bring it current. After that period we may formally resign as your registered agent with the Arizona Corporation Commission.
The law requires every LLC to have a registered agent at all times. If we resign and you do not appoint another, the state may administratively dissolve your company. That consequence is your responsibility, not ours.
We use your information solely to provide the services you purchased and to communicate with you. We do not sell your information or share it with third parties, except where necessary to file your documents with the Arizona Corporation Commission or the IRS, or where the law requires it.
Note that your company name and its registered agent address are public information in the Arizona state record.
You may end the relationship at any time by appointing another registered agent with the Arizona Corporation Commission and letting us know.
We may end it if you breach these terms, if you stop paying, or if we have reasonable grounds to believe the company is being used for unlawful purposes. We will tell you in writing.
We may update these terms. If a change is material, we will notify you by email at least 30 days in advance. Continuing to use our services after that date means you accept the new version.
These terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of law rules. Any dispute will be submitted to the courts of competent jurisdiction in Maricopa County, Arizona.
If any provision of these terms is held invalid, the remainder stays in full force.
